NAVIS Terms of Use

These Terms govern access to and use of NAVIS, including the iOS and iPadOS application, related web services, interview simulations, AI-generated content, scoring and feedback, account features, and paid services.

By downloading, accessing, creating an account for, purchasing through, or using NAVIS, you agree to these Terms. If you do not agree, do not use NAVIS.

1. About NAVIS and These Terms

NAVIS is an interview-readiness and career-preparation application provided by Neurodiverse Technologies, Inc. (“NTs,” “we,” “us,” or “our”). NAVIS provides simulated interviews, job-specific and behavioral practice, adaptive questions, educational resources, AI-assisted analysis, feedback, and related readiness tools. These Terms form a binding agreement between you and NTs.

NAVIS is designed as a practice, education, and readiness tool. It is not an employer, staffing agency, credentialing body, educational institution, medical provider, therapist, or professional licensing authority.

2. Eligibility and Accounts

You must be legally capable of entering into these Terms. If you are under the age of majority where you live, a parent, legal guardian, school, organization, or other authorized adult may need to consent to your use.

NAVIS is not directed to children under 13 unless NTs has expressly implemented a compliant program for such use. Do not create an account for a child under 13 unless NTs has specifically authorized that use.

You agree to provide accurate account information, maintain the confidentiality of your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity occurring through your account to the extent permitted by law.

You may not share credentials in a manner that circumvents licensing, seat, credit, or subscription limits.

Institutional accounts. If NAVIS is provided through an employer, school, university, vocational rehabilitation provider, nonprofit, workforce program, or other organization, additional terms between NTs and that organization may apply. The organization may administer access and receive information or reports only as described to you, permitted by applicable law, and consistent with our Privacy Policy and applicable agreements.

3. License to Use NAVIS

Subject to these Terms and payment of applicable fees, NTs grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use NAVIS for lawful interview practice, education, training, or authorized organizational purposes.

For the iOS or iPadOS application, the license is limited to use on Apple-branded products that you own or control and as permitted by the Apple Media Services Usage Rules, including permitted Family Sharing or volume purchasing where applicable.

NAVIS is licensed, not sold. NTs and its licensors retain all rights not expressly granted to you.

4. Permitted and Prohibited Use

You may use NAVIS only for its intended purposes and in compliance with law. You may not:

  • Copy, modify, distribute, sell, rent, lease, sublicense, or commercially exploit NAVIS except as expressly authorized by NTs.
  • Reverse engineer, decompile, disassemble, derive source code from, scrape, probe, or circumvent technical protections, except where applicable law expressly permits it.
  • Use automated means to extract interview libraries, question graphs, scoring logic, prompts, models, datasets, or other proprietary content.
  • Use NAVIS or its outputs to train, benchmark, develop, or improve a competing model, application, interview product, or dataset without NTs’ written permission.
  • Misrepresent your identity, impersonate another person, interfere with the service, introduce malicious code, attempt unauthorized access, or abuse credits, promotions, trials, or payment systems.
  • Upload or submit unlawful, infringing, threatening, discriminatory, harassing, fraudulent, or malicious material.
  • Use NAVIS to make unlawful employment decisions or evade obligations under employment, disability, education, privacy, consumer-protection, or anti-discrimination laws.

5. AI-Powered Features and Automated Analysis

NAVIS uses artificial intelligence and automated systems to conduct simulated interviews, adapt questions, analyze responses, and generate feedback, scores, summaries, suggestions, or other outputs (“AI Outputs”).

AI Outputs may be incomplete, inaccurate, inconsistent, or inappropriate for a particular situation. You should use them as practice guidance, not as authoritative facts or professional advice.

NAVIS may analyze information such as the content and structure of responses, speaking characteristics, job-related competencies, and other signals clearly presented to you.

If optional camera, microphone, wearable, eye-gaze, heart-rate, or other sensor-enabled functionality is offered, applicable permissions and notices will govern that functionality. Such signals are not medical diagnoses or definitive measures of ability, personality, honesty, disability, or employability.

No solely determinative employment decision. NAVIS is not intended to make hiring, firing, promotion, compensation, eligibility, or other legally significant employment decisions. Employers and organizations remain responsible for lawful decision-making, reasonable accommodations, validation, and human review.

6. Interview Scores, Feedback, and Career Outcomes

Scores, readiness indicators, role-fit indicators, feedback, recommendations, and progress measures are educational estimates generated from the information and methodology available to NAVIS.

They are not certifications, guarantees, clinical assessments, employment tests validated for every use case, or promises of job performance.

NTs does not guarantee that use of NAVIS will result in an interview, job offer, employment, promotion, admission, certification, increased compensation, or any particular outcome. Employers may use different questions, standards, technologies, or evaluation criteria.

7. Accessibility and Accommodations

NAVIS is intended to support a broad range of users, including neurodivergent users. Features and accessibility support may evolve.

If you require an accommodation or encounter an accessibility barrier, contact NTs. Nothing in NAVIS replaces an employer, school, or other covered entity’s independent legal obligations to provide reasonable accommodations where required.

8. User Content and Interview Responses

“User Content” means information, text, audio, video, images, documents, interview responses, profile information, or other material you submit to NAVIS.

You retain ownership of User Content to the extent you own it. You grant NTs a limited, worldwide license to host, process, transmit, reproduce, and use User Content as reasonably necessary to operate, secure, support, and improve NAVIS, provide requested features, comply with law, and exercise rights described in the Privacy Policy.

You represent that you have the rights necessary to submit User Content and that doing so does not violate law or third-party rights.

Do not submit confidential employer information, trade secrets, protected health information, or other sensitive information unless the feature expressly requests it and NTs has provided appropriate terms for that use.

9. Privacy, Permissions, and Data Practices

Our Privacy Policy explains how NTs collects, uses, discloses, retains, and protects personal information and is incorporated into these Terms by reference.

Where NAVIS requests access to camera, microphone, Bluetooth, sensors, storage, notifications, or other device capabilities, you may control those permissions through your device settings. Denying permission may prevent the related feature from functioning.

Some NAVIS functions may depend on cloud hosting, payment, communications, analytics, artificial intelligence, speech, transcription, or other service providers. Personal information transmitted to providers will be handled according to applicable law, Apple requirements, our Privacy Policy, and applicable contractual safeguards.

10. Purchases, Credits, Subscriptions, and Apple Billing

NAVIS may offer interview credits, packages, subscriptions, premium features, or other paid digital services. The price, benefits, duration, renewal terms, credit usage, re-attempt rules, and other material conditions presented at purchase are part of these Terms.

Purchases through the Apple App Store are processed by Apple and subject to Apple’s applicable payment, subscription, refund, and media-services terms. Where Apple requires In-App Purchase, NAVIS will use Apple’s permitted purchasing mechanisms.

NTs does not receive or store your full payment-card details when Apple processes the transaction.

Credits. Unless otherwise stated at purchase, a credit is a limited contractual right to access the applicable NAVIS service. It has no cash value, is not legal tender, is not transferable, and may not be resold. Credits are not refundable except where required by law or applicable App Store terms.

NTs may correct credit balances resulting from error, fraud, chargeback, or abuse.

Subscriptions. If NAVIS offers an auto-renewable subscription, the purchase screen will state the price, billing period, included access, and renewal terms. Apple-billed subscriptions renew through Apple until canceled through the user’s Apple account.

Deleting NAVIS or deleting a NAVIS account does not necessarily cancel an Apple subscription.

11. Account Deletion

If NAVIS permits account creation, NAVIS will provide a way for users to initiate account deletion in accordance with applicable App Store requirements.

Account deletion is intended to delete the account and associated personal information that NTs is not legally or contractually required to retain. Certain records may be retained for legal compliance, fraud prevention, dispute resolution, security, financial recordkeeping, or enforcement of agreements.

Deleting a NAVIS account does not automatically terminate an Apple-billed subscription. You remain responsible for canceling the subscription through Apple unless Apple provides otherwise.

12. Intellectual Property

NAVIS, including its software, interface, branding, interview frameworks, question libraries, adaptive branching, scoring methodologies, reports, designs, graphics, documentation, databases, and other NTs-created content, is owned by or licensed to NTs and protected by intellectual-property laws.

NAVIS, Neurodiverse Technologies, associated logos, and related marks may not be used without permission.

Feedback. If you voluntarily provide suggestions, ideas, or feedback about NAVIS, you grant NTs the right to use that feedback without restriction or compensation. This does not transfer ownership of your User Content or personal information.

13. Third-Party Services and Terms

NAVIS may interoperate with Apple services and other third-party services. Those services are governed by their own terms and privacy practices.

You must comply with applicable third-party terms when using NAVIS. NTs is not responsible for third-party services outside its reasonable control, but this does not limit rights that cannot lawfully be limited.

14. Updates, Availability, and Changes to NAVIS

NTs may update, improve, modify, suspend, or discontinue features to maintain security, comply with law, improve performance, respond to technology changes, or develop the service.

We will provide notice when required by law or when a material change requires user action. We do not guarantee uninterrupted or error-free availability. Functionality may depend on compatible devices, operating systems, network access, or third-party services.

15. Suspension and Termination

You may stop using NAVIS at any time. NTs may suspend or terminate access when reasonably necessary because of a material breach of these Terms, unlawful or abusive activity, security risk, nonpayment, fraud, or discontinuation of the service, subject to applicable law and contractual obligations.

Provisions that by their nature should survive termination, including intellectual-property, disclaimer, liability, dispute, and payment provisions, will survive.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAVIS AND ITS CONTENT, AI OUTPUTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NTs DISCLAIMS WARRANTIES THAT MAY LAWFULLY BE DISCLAIMED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT.

NTs DOES NOT WARRANT THAT NAVIS WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR A PARTICULAR EMPLOYER, JOB, EDUCATIONAL PROGRAM, OR INDIVIDUAL.

Nothing in these Terms excludes warranties, consumer rights, or remedies that cannot lawfully be excluded or limited.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NTs AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL ARISING FROM OR RELATED TO NAVIS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NTs’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO NAVIS OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO NTs FOR NAVIS DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) US $100.

These limitations do not apply to liability that cannot lawfully be limited. Applicable consumer law may provide additional rights.

18. Indemnification

To the extent permitted by law, if you use NAVIS on behalf of a business or organization, that business or organization will defend and indemnify NTs from third-party claims arising from its unlawful use of NAVIS, violation of these Terms, or infringement of third-party rights.

This section does not require an individual consumer to indemnify NTs where such an obligation is prohibited by law.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-laws principles, except to the extent the law of your state or country gives you non-waivable consumer protections.

Subject to those protections, disputes not resolved informally will be brought in the state or federal courts having jurisdiction in Williamson County or Davidson County, Tennessee. The parties consent to personal jurisdiction there.

Before filing a claim, you and NTs agree to make a reasonable good-faith effort to resolve the dispute informally by written notice describing the issue and requested resolution. This does not prevent either party from seeking emergency injunctive relief or using a small-claims court with jurisdiction.

20. Apple App Store Terms

If you download or use NAVIS through Apple’s App Store, the following additional terms apply and control to the extent required by Apple:

  • These Terms are between you and Neurodiverse Technologies, Inc., not Apple. NTs, not Apple, is responsible for NAVIS and its content.
  • Apple has no obligation to provide maintenance or support for NAVIS. NTs is responsible for maintenance and support as required by law and these Terms.
  • If NAVIS fails to conform to an applicable warranty that cannot be disclaimed, you may notify Apple, and Apple may refund the purchase price, if any, as provided by Apple. To the maximum extent permitted by law, Apple has no other warranty obligation regarding NAVIS.
  • NTs, not Apple, is responsible for claims relating to NAVIS or your possession or use of it, including product-liability, regulatory, consumer-protection, and privacy claims.
  • If a third party claims NAVIS infringes intellectual property rights, NTs, not Apple, is responsible for investigation, defense, settlement, and discharge of that claim.
  • You represent that you are not located in a country or region subject to a United States Government embargo or designated as supporting terrorism, and that you are not listed on a United States Government list of prohibited or restricted parties.
  • You must comply with applicable third-party terms when using NAVIS.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the licensed application and may enforce the applicable terms against you.

21. Changes to These Terms

NTs may revise these Terms from time to time. The updated version will identify its effective date.

If changes are material, NTs will provide notice or obtain renewed acceptance where required by law. Continued use after the effective date of a non-material update constitutes acceptance to the extent permitted by law.

Changes will not retroactively reduce rights for completed purchases where prohibited by law.

22. General Terms

These Terms, together with the Privacy Policy, purchase terms presented at checkout, and any applicable institutional agreement, constitute the agreement governing your use of NAVIS.

If a provision is unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver.

You may not assign these Terms except as permitted by law. NTs may assign them in connection with a merger, financing, reorganization, sale of assets, or similar transaction, subject to applicable law.

24. Electronic Acceptance and App Notices

By tapping “I Agree,” “Accept,” “Continue,” creating an account after these Terms are presented, or otherwise completing an acceptance flow that clearly references these Terms, you electronically accept these Terms.

NAVIS may present additional just-in-time notices or permissions for particular features. Those notices supplement these Terms and the Privacy Policy for the applicable feature.

The current Terms and Privacy Policy will remain reasonably accessible from within NAVIS, including from the account or settings area, and through the NAVIS website or App Store listing.
